Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hireverse marketplace, recruiting services, website, and related products (collectively, the "Service") provided by Hireverse, Inc. ("Hireverse," "we," "us"). By accessing or using the Service, you agree to these Terms.
1. Eligibility and account
- You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service.
- You agree to provide accurate, current, and complete information and to keep it updated.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us at security@hireverse.ai immediately if you suspect unauthorized access.
- You may not transfer your account to anyone else without our written consent.
2. Marketplace, recruiting, and roles
The Service includes three distinct offerings, each governed by these Terms:
- Marketplace: a platform where clients post projects and freelancers deliver work.
- Recruiting Services: full-time placement engagements (Direct Hire / RPO / Talent Sourcing / Embedded / Contingent / Executive Search) for hiring companies and candidates.
- Tools: AI assistants, workspaces, and integrations used to manage projects, candidates, and communications.
Where a separate signed agreement (e.g., a Master Services Agreement, Statement of Work, or Recruiting Engagement Letter) governs a specific engagement, that agreement controls in case of conflict with these Terms for that engagement.
3. User content
You retain ownership of the content you submit (project briefs, work product, resumes, messages, etc.). You grant Hireverse a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and adapt that content as necessary to provide the Service. You represent that you have all rights necessary to grant this license.
4. Payments and fees
- Marketplace fees: as displayed at the point of purchase. Hireverse takes a platform fee from client payments; freelancers receive the agreed-upon amount.
- Recruiting fees: as set out in the engagement letter or order form (e.g., RPO $3,000 per resource plus 15% placement fee; Talent Sourcing $5,000 per resource per month; Executive Search 30% with 50% upfront; Contingent Search 25% flat).
- Subscriptions: Pro and Enterprise tiers are billed in advance, recurring monthly, until canceled. Cancellation takes effect at the end of the current billing period.
- Payment processing: handled by Stripe. By using the paid features you agree to Stripe's terms.
- Taxes: fees are exclusive of applicable taxes, which are your responsibility.
- Refunds: handled on a case-by-case basis under the applicable engagement terms.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Misrepresent yourself, your skills, or your work product.
- Upload content that infringes intellectual property, violates privacy, or contains malware.
- Attempt to access, scrape, or interfere with another user's account or our infrastructure without authorization.
- Circumvent the marketplace to transact off-platform after being introduced through the Service.
- Use the Service to harass, defame, or discriminate.
6. Intellectual property
- Hireverse owns the Service, including all software, design, trademarks, and content we create. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
- For recruiting engagements, candidate data ownership is governed by the applicable engagement letter. For RPO and Talent Sourcing, the client retains ownership of candidate and process data. For retained Executive Search and Contingent Search, Hireverse holds candidate data for confidentiality purposes.
- Feedback you provide to us about the Service is non-confidential, and we may use it without restriction.
7. Confidentiality
If you receive confidential information in connection with a recruiting engagement (e.g., candidate identity in an executive search), you agree not to disclose it to third parties or use it outside the purpose for which it was shared.
8. Third-party services
The Service integrates with third-party services (Stripe, Vertex AI, Google Cloud, GitHub, Slack, Notion, Trello, Google Drive, and others). Your use of those services is subject to their own terms and policies. Hireverse is not responsible for third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HIREVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HIREVERSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Hireverse, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
12. Termination
- You may stop using the Service at any time. You may close your account by contacting support@hireverse.ai.
- We may suspend or terminate your access to the Service if you breach these Terms, present a security or legal risk, or for other operational reasons.
- Sections that by their nature should survive termination (e.g., IP, disclaimers, limitation of liability, indemnification, governing law) will survive.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. This section does not limit any non-waivable consumer rights you may have under the law of your residence.
14. Changes to these Terms
We may update these Terms from time to time. We will post the new effective date at the top of this page and, if changes are material, notify you in advance through the Service or by email.
